Awardco End-User Acceptable Use Policy
AWARDCO ACCEPTABLE USE POLICY FOR END-USERS
This acceptable use policy, as amended and updated from time to time, (this “Policy”) is incorporated by reference into each contract with Awardco’s customers and end users (the “Contract”) and governs end-users’ use of the Awardco platform (the “Platform”). This Policy is supplemental to the Contract and paragraphs below are not exhaustive. Please be respectful of others when you use the Platform.
Capitalised terms not defined in this Policy have the meanings set forth in the Terms.
- YOUR USE OF THE PLATFORM.
- You must use the Platform in compliance with this Policy and the Terms, and applicable law. You must not, except as permitted by law: (1) sell, resell, rent, distribute, republish, lease, license, loan, assign (whether directly or indirectly, by operation of law or otherwise) or otherwise transfer, or encumber rights to the Platform, or any part thereof, or translate, merge, copy, reproduce, adapt, reverse engineer, decompile, disassemble, transmit, scan, publish on a network or store in any retrieval system of any nature the Platform, or any part thereof; (2) send or store viruses, worms, time bombs, Trojan horses, any software, virus, clock, timer, counter or other limited or disabling code, design or routine that is intended to be harmful to the Platform or to data stored in the Platform or which enables access to the Platform or theft of data or otherwise impairs the operation of the Platform and other malicious code, files, scripts, agents or programs to the Platform; (3) attempt to gain unauthorised access to, or disrupt the integrity or performance of, the Platform or the data available on the Platform; (4) modify, copy or create a database or derivative works from or based on the Platform, or any portion thereof; or (5) access the Platform for the purpose of building a competitive product or service or copying its features or user interface.
- You must not upload, access, store, distribute or transmit any material during your use of the Platform that is Illegal or Harmful Content (as described in paragraph 3.1 below) or is otherwise objectionable, or that is otherwise not in compliance with this Policy or the Terms.
- You must not remove any proprietary legends or markings, including copyright notices, on the Platform.
- ILLEGAL OR HARMFUL CONTENT.
- Illegal or Harmful Content is any User Content that is: (1) obscene, threatening, menacing, offensive, defamatory, abusive, causes annoyance, inconvenience, or needless anxiety, contains expressions of bigotry, racism, racially or ethnically offensive content, hate speech, abusive content, vulgarity or profanity, contains or advocates pornography or sexually explicit content or child sexual abuse, or that is otherwise obscene or lewd, advocates violent behaviour or poses a threat to personal or public safety; (2) a breach of any intellectual property right, right of confidentiality or any other legal right of any person; or (3) fraud, misrepresentation or otherwise in breach of, or violates, any applicable law or regulation or code.
- We do not tolerate Illegal or Harmful Content uploaded through the Platform. We will process and investigate notices of alleged Illegal or Harmful Content, and take appropriate actions, as required under any applicable law.
- If you believe any User Content posted on or through the Platform is Illegal or Harmful Content or violates this Policy, you should notify us by emailing us at legal@awardco.com. The notification must be in writing and contain: (i) a description of the alleged Illegal or Harmful Content; (ii) identification of the content that is claimed to be illegal, and where the content that you claim is illegal is located on the Platform, with enough detail that we may find it on the Platform; and (iii) your address, telephone number, and email address.
- If you believe that any User Content that was removed (or to which access was disabled or restricted) is not illegal, or you otherwise wish to complain about our decisions or actions, you may send a written complaint to legal@awardco.com containing: (a) identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled; and (b) your name, address, telephone number, and email address.
- We may terminate, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat uploaders of Illegal or Harmful Content, or who frequently submit notices or complaints about Illegal or Harmful Content that are manifestly unfounded. We may also, at our sole discretion, limit access to the Platform and/or terminate the accounts of users who upload Illegal or Harmful Content or violate this Policy. We may use automated means of reviewing User Content, in addition to human review.
- Any suspected Illegal or Harmful Content may be referred to appropriate law enforcement authorities.
- If we decide that User Content is Illegal or Harmful Content or otherwise breaches this Policy or any Contract, we may: (1) remove, disable or restrict the visibility of the User Content; (2) suspend or terminate your Account (or any part of it) and/or access to or use of the Platform; (3) block you from future access to the Platform, or take any other actions to restrict User Content or access to and use of the Platform.
- Where required by applicable law, we will advise you if we take any of the above actions, and we will provide you with a statement of reasons. If you disagree with our decision, you can contact us at legal@awardco.com, and we will consider your notification in accordance with our internal policies and procedures.
- If we remove, take down or restrict the visibility of any User Content, or suspend or ban you from using the Platform in breach of the Contract, then you can bring a claim against us for breach of contract.
- VeraSafe has been appointed as Awardco’s EU Digital Services Act (DSA) legal representative in the European Union, pursuant to Article 13 of the DSA. The European Union Member States’ competent authorities, the European Commission, and the European Board for Digital Services may contact VeraSafe in addition to or instead of legal@awardco.com, on issues necessary for the receipt of, compliance with, and enforcement of decisions issued in relation to the DSA.
